By engaging the services of Flouvia Boutique or accessing the Client Portal (Flouvia OS), you agree in full to these Terms of Service. If you do not agree with any of the conditions set forth herein, please do not use our services.

01Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you (the "Client") and Flouvia Boutique (the "Provider"). Continued use of the services implies full and unreserved acceptance of these terms, including any future modifications duly notified.

These terms apply to all services provided by Flouvia, including web design and development, e-commerce engineering, process automation, digital consulting, and access to the Client Portal.

02Description of Services

Flouvia provides digital engineering services under individualized commercial proposals. The scope, deliverables, timelines, and price of each project are defined in the proposal or service agreement signed by both parties.

  • Design and development of Shopify / Shopify Plus stores.
  • Architecture and implementation of B2B portals.
  • Retention strategy and configuration (Klaviyo, CRM).
  • API integration, process automation, and dashboards.
  • Conversion rate optimization (CRO) and advanced analytics.
  • Access to and maintenance of the Flouvia OS Client Portal.

Flouvia reserves the right to decline projects that conflict with its internal policies or applicable law.

03Client Obligations

For the proper development of the project, the Client agrees to:

  • Provide in a timely manner the information, access credentials, and materials necessary for project development.
  • Designate a point of contact with decision-making authority.
  • Review and approve deliverables within the agreed timelines. Failure to respond within 5 business days will be considered tacit approval.
  • Not share Client Portal login credentials with unauthorized third parties.
  • Make payments on time and in the agreed manner.
  • Notify any changes to the project scope before implementation.

04Payment Terms

Specific payment terms are established in the individual commercial proposal. As general policy:

  • Projects are invoiced according to the agreed scheme (milestone-based, monthly, or upon delivery).
  • Payment delays exceeding 10 business days may result in service suspension.
  • Payments made are non-refundable except in cases of demonstrable non-compliance by Flouvia.
  • Rates are expressed in US Dollars (USD) or Mexican Pesos (MXN) as indicated in the proposal.
  • Flouvia issues fiscal invoices (CFDI) in accordance with Mexican tax legislation.

05Intellectual Property

Project deliverables: Once full payment has been made, the Client acquires usage rights over the specific project deliverables (designs, custom code, automation flows).

Flouvia property: Flouvia retains rights over its methodologies, internal frameworks, reusable generic components, and accumulated technical knowledge, regardless of their use in the Client's project.

Third-party tools: The use of third-party platforms (Shopify, Klaviyo, Make, Supabase, etc.) is subject to each provider's terms. Flouvia does not grant licenses over third-party software.

The Client authorizes Flouvia to reference the project as a commercial case study, unless an express confidentiality agreement is in place.

06Confidentiality

Both parties agree to maintain the confidentiality of sensitive information exchanged during the business relationship, including financial, strategic, and technical data, for the duration of the agreement and for a period of 2 years following its termination.

This obligation does not apply to information that is in the public domain, that the receiving party already knew prior to disclosure, or that must be disclosed by legal mandate or court order.

07Warranties and Limitation of Liability

Flouvia warrants that services will be rendered with professional diligence and in accordance with the agreed scope. However:

  • Flouvia does not guarantee specific commercial results (sales, conversions, traffic) derived from the use of deliverables.
  • Flouvia's liability for direct damages is limited to the amount paid for the project in question.
  • Flouvia shall not be liable for indirect damages, loss of revenue, or consequential damages.
  • Uptime of the Client Portal is subject to the availability of infrastructure providers (Vercel, Supabase, Clerk).

08Term and Termination

These Terms take effect from the start of the business relationship and remain in force until project completion or termination of access to the Client Portal.

Either party may terminate the business relationship with 15 calendar days of prior written notice, unless there is a serious breach that warrants immediate termination.

In the event of early termination, the Client shall pay for services effectively rendered up to the termination date.

09Governing Law and Jurisdiction

These Terms of Service are governed by the laws in force in the United Mexican States. For any dispute arising from the interpretation or fulfillment of these terms, the parties submit to the jurisdiction of the competent courts of Mexico City, waiving any other jurisdiction that may correspond to them by reason of their current or future domiciles.
